Corporate & Commercial

A Branch Office may be established by foreign company wishing to carry out certain projects or business activities in Thailand.

The branch office is governed by the Foreign Business Act and has the following characteristics:

  • It is fully foreign owned

  • It’s considered the same legal entity as the foreign head office and bears the same name as its parent company

  • There are no requirements to have a local shareholder or director

  • May conduct various business activities regardless of whether or not they generate any revenue

  • If these activities are considered restricted under the FBA, a Foreign Business License must be obtained

  • The minimum capital must be at least 3 million Baht for restricted activities and 2 million Baht otherwise

  • May exist for an indefinite period of time

Setting up a branch office in Thailand is possible, but the process is lengthy and bureaucratic. At Antares, we are well versed in Thailand’s laws as well as the realities of business practice.

Our team of experienced Thai or foreign lawyers and business consultants can advise you regarding the characteristics and conditions to be met to legally operate in Thailand. Let us take care of your legal needs. Contact us for professional advice and assistance.
