LEGAL DUE DILIGENCE
Legal due diligence is one of the most important due steps of any major transaction or investment, especially for merger and acquisition transactions, and requires considerable experience. Although there are no specific statutory requirements in Thailand for due diligence, it is strongly recommended to consult a Thai lawyer.

During the legal due diligence process, we will review the following documents:

Employment or service agreements, work rules, code of conduct and all announcements related to employees
Material agreements including shareholders or joint venture agreements, land and building purchase or lease agreements, plant or machinery purchase agreements
Land titles, leases and all related agreements
Intellectual property license agreements
Credit facilities agreements, collateral agreements, guarantee agreements, swap and derivatives agreements, factoring agreements, assignment agreements
Documents pertaining to disputes or lawsuits
